End User License Agreement — PALTO Books

Effective date: October 3, 2026

This End User License Agreement ("Agreement") governs use of PALTO Books (the "Software"), an internal bookkeeping application operated by PALTO Solutions LLC and PALTO Construction LLC ("PALTO").

1. Internal use only. The Software is licensed, not sold, for the sole internal business use of PALTO and its authorized personnel. It is not available to the public and no license is granted to any other party.

2. Authorized users. Only persons expressly authorized by PALTO ownership may use the Software. Authorization may be revoked at any time.

3. QuickBooks connection. The Software connects to QuickBooks Online company files owned by PALTO through Intuit's API, under Intuit's developer terms. Users must also comply with Intuit's applicable terms of service.

4. Restrictions. Users may not copy, distribute, sublicense, sell, or provide third-party access to the Software, or use it to access data not owned by PALTO.

5. No warranty. The Software is provided "as is," without warranty of any kind, express or implied, including merchantability or fitness for a particular purpose.

6. Limitation of liability. To the maximum extent permitted by law, PALTO's total liability arising out of or related to the Software shall not exceed one hundred dollars ($100). PALTO is not liable for indirect, incidental, or consequential damages.

7. Termination. This Agreement is effective until terminated. PALTO may terminate it at any time. Upon termination, all use must cease.

8. Governing law. This Agreement is governed by the laws of the State of Alabama, without regard to conflict-of-law principles.
